TORONTO, Nov. 04, 2026 (GLOBE NEWSWIRE) -- SmartCentres Real Estate Investment Trust (“SmartCentres”, the “Trust” or the “REIT”) (TSX: SRU.UN) is pleased to report its financial and operating results for the quarter ended September 30, 2026.

We are pleased to report another quarter of stable operating performance, highlighted by continued leasing momentum, growing occupancy and solid Same Property NOI growth. Our retail portfolio remains exceptionally resilient, with occupancy increasing to 98.2% and strong rent growth of 11.8% on renewals excluding Anchors. Our new retail development growth program continues to progress with our recently announced new Walmart-anchored SmartCentres in Kingston, Lindsay and Winnipeg. Construction in Kingston is expected to begin in Q4 2026. In addition, we completed construction of our self-storage facilities in Montreal and Laval, bringing our operating portfolio to 16 facilities and creating another meaningful source of recurring cash flow. Subsequent to quarter-end, we further strengthened our balance sheet and extended our debt maturity profile through the issuance of $450 million of unsecured debentures. The net proceeds were used to repay maturing debt with the remainder repaying outstanding floating rate debt on our operating lines, providing additional financial flexibility to support future growth.

2026 Third Quarter Highlights

Retail Operations

  • In-place and committed occupancy rate of 98.2% as at September 30, 2026, a 10 bps improvement from the prior quarter.
  • Further extended approximately 57,000 square feet of lease maturities with strong rent growth of 11.8% (excluding Anchors) and 6.8% (including Anchors), bringing the total to 89% of leases maturing in 2026.
  • Lease-up activities with higher rents continued to drive Same Properties NOI(1) growth, which increased by 2.5% (3.8% excluding Anchors) for the three months ended September 30, 2026 compared to the same period in 2025.
  • Maintained strong leasing momentum, with approximately 104,000 square feet of vacant space leased during the quarter, contributing to approximately 408,000 square feet leased year to date. Demand for new-build retail space continued to grow, with executed leases for approximately 330,000 square feet during the quarter, for a total of approximately 393,000 square feet year to date.

Development

  • The retail development growth program continues to progress with the three new previously announced SmartCentres being anchored by Walmart in Kingston, Ontario, Lindsay, Ontario and Winnipeg, Manitoba. A long-term lease with Walmart has been signed for Kingston, Ontario and construction is expected to begin in Q4 2026.
  • Construction of the 200,000 square foot Canadian Tire flagship store in Toronto’s Leaside neighbourhood continues to progress, with delivery to the tenant expected in Q4 2026.
  • ArtWalk condo construction in the Vaughan Metropolitan Centre continues to advance as planned, with approximately 93% of the 340 units pre-sold. The underground parking structure is completed, and the formwork reached the eighteenth floor during the quarter.
  • Construction of the 65-unit rental building within the ArtWalk block at the Vaughan Metropolitan Centre has commenced with underground work completed. The building shares the underground parking structure with the ArtWalk condo.
  • Construction of the self-storage facilities in Montreal (Notre-Dame) and Laval East, Quebec was completed during the quarter, increasing the operating self-storage portfolio to 16 facilities. Construction continues to progress at Burnaby and Victoria, British Columbia, and Edmonton (Allard), Alberta, with all three facilities expected to open in 2027. Construction contracts have also been awarded for the Edmonton (127 Ave NW) facility, while the Trust and its partner continue to pursue municipal approvals for two additional sites in Ontario and British Columbia.
  • During the quarter, two development properties, including one held through an equity-accounted investment, were moved to assets held for sale as part of the Trust's disposition program.

Financial

  • Net operating income (“NOI”)(1) for the three months ended September 30, 2026, was $141.8 million, representing an increase of $0.5 million, or 0.4%, as compared to the same period in 2025. The increase was primarily attributable to higher net rental income from lease-up and renewal activities across the Trust's retail portfolio, offset by a decrease in net profit on residential sales, following the completion of all townhome closings at the Vaughan NW project in the second quarter of 2026.
  • FFO per Unit(1) for the three months ended September 30, 2026, was $0.54 compared to $0.59 for the same period in 2025. The decrease was primarily due to higher interest expense and decrease in fair value adjustment on TRS, which was fully settled in the second quarter of 2026. FFO with adjustments per Unit(1) decreased to $0.55 from $0.56 for the same period in 2025, primarily attributable to higher interest expense.
  • Net income and comprehensive income for the three months ended September 30, 2026, was $179.5 million, compared to net income and comprehensive income of $81.0 million for the same period in 2025, an increase of $98.4 million. The increase was primarily attributable to a fair value gain on financial instruments, primarily due to a decrease in the Trust's Unit price, as well as a $39.9 million fair value gain on investment properties, primarily driven by improved leasing activities.

Subsequent Event

  • On October 14, 2026, the Trust issued an additional $150.0 million principal amount of existing Series AC senior unsecured debentures bearing coupon of 3.599% per annum, maturing on June 12, 2029, at a price of $985.47 per $1,000 of principal plus accrued and unpaid interest from and including June 12, 2026. In addition, the Trust issued $300.0 million principal amount of Series AE senior unsecured debentures bearing coupon of 4.795% per annum, maturing on January 15, 2032. Net proceeds were used to repay the $150.0 million term loan upon its maturity in October 2026, revolving operating facilities, and for general corporate purposes.

(1) Includes fair value adjustments on investment properties and financial instruments. Fair value adjustment on investment properties is described in “Investment Properties” in the Trust’s MD&A. Fair value adjustment on financial instruments comprises the following financial instruments: units classified as liabilities, DUP, EIP, Long term incentive plan, TRS, and interest rate swap agreements. The significant assumptions made in determining the fair value are more thoroughly described in the Trust’s unaudited interim condensed consolidated financial statements for the three and nine months ended September 30, 2026. For details, please see discussion in “Results of Operations” section in the MD&A.
(2) Salaries and related costs attributed to leasing activities of $7.3 million were incurred in the nine months ended September 30, 2026 (nine months ended September 30, 2025 – $6.6 million) and were eligible to be added back to FFO based on the definition of FFO, in the REALPAC White Paper, which provided for an adjustment to incremental leasing expenses for the cost of salaried staff. This adjustment to FFO results in more comparability between Canadian publicly traded real estate entities that expensed their internal leasing departments and those that capitalized external leasing expenses.
(3) Includes tenant improvement amortization, indirect interest with respect to the development portion, fair value adjustment on investment properties, loss (gain) on sale of investment properties, and adjustment for supplemental costs.

Cautionary Statements Regarding Forward-looking Statements

Certain statements in this Press Release are "forward-looking statements" that reflect management's expectations regarding the Trust's future growth, results of operations, performance and business prospects and opportunities. More specifically, certain statements including, but not limited to, statements related to SmartCentres’ expectations relating to cash collections, SmartCentres’ expected or planned development plans and joint venture projects, including the described type, scope, costs and other financial metrics and the expected timing of construction and condo closings and statements that contain words such as "could", "should", "can", "anticipate", "expect", "believe", "will", "may" and similar expressions and statements relating to matters that are not historical facts, constitute "forward-looking statements". These forward-looking statements are presented for the purpose of assisting the Trust's Unitholders and financial analysts in understanding the Trust's operating environment and may not be appropriate for other purposes. Such forward-looking statements reflect management's current beliefs and are based on information currently available to management.

However, such forward-looking statements involve significant risks and uncertainties. A number of factors could cause actual results to differ materially from the results discussed in the forward-looking statements, including risks associated with potential acquisitions not being completed or not being completed on the contemplated terms, public health crises, real property ownership and development, debt and equity financing for development, interest and financing costs, construction and development risks, and the ability to obtain commercial and municipal consents for development. These risks and others are more fully discussed under the heading “Risks and Uncertainties” and elsewhere in SmartCentres’ most recent Management’s Discussion and Analysis, as well as under the heading “Risk Factors” in SmartCentres’ most recent annual information form. Although the forward-looking statements contained in this Press Release are based on what management believes to be reasonable assumptions, SmartCentres cannot assure investors that actual results will be consistent with these forward-looking statements. The forward-looking statements contained herein are expressly qualified in their entirety by this cautionary statement. These forward-looking statements are made as at the date of this Press Release and SmartCentres assumes no obligation to update or revise them to reflect new events or circumstances unless otherwise required by applicable securities legislation.

Material factors or assumptions that were applied in drawing a conclusion or making an estimate set out in the forward-looking information may include, but are not limited to: a stable retail environment; a continuing trend toward land use intensification, including residential development in urban markets and continued growth along transportation nodes; access to equity and debt capital markets to fund, at acceptable costs, future capital requirements and to enable our refinancing of debts as they mature; that requisite consents for development will be obtained in the ordinary course, construction and permitting costs consistent with the past year and recent inflation trends.
